1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Transguard Kitchen Maintenance Solutions website and services.
By accessing this website or engaging our services, you agree to comply with these Terms.

2. Services Overview

KMS provides, but is not limited to:
  • Foodservice equipment maintenance and repairs
  • Preventive and reactive maintenance services
  • Annual Maintenance Contracts (AMC)
  • Access to spare parts
  • 24×7 emergency callouts
  • Technical and specialist services including HVAC, MEP, IoT monitoring, pest control, energy management
  • Subcontractor management
All services are subject to individual service agreements, quotations, and/or Annual Maintenance Contracts.

3. Service Engagement

All services:
  • Are subject to written quotation and acceptance
  • May require signed contracts prior to commencement
  • Are governed by agreed Service Level Agreements (SLAs)
  • May include response time commitments where specified
KMS reserves the right to refuse service where safety, compliance, or regulatory risks exist.

4. Annual Maintenance Contracts (AMC)

Where applicable:
  • AMC terms will be defined in a separate written agreement
  • Coverage, exclusions, spare parts, response times, and call-out limits will be clearly defined
  • Non-payment may result in suspension of services
  • Renewal terms will be outlined within the contract

5. Call-Out Services

24×7 emergency support may be available depending on the client agreement.
Emergency response times:
  • Are subject to location and operational capacity
  • May incur additional charges outside contracted coverage
  • Are prioritised based on severity

6. Spare Parts

  • Genuine spare parts are supplied where available
  • Warranty on parts is subject to manufacturer terms
  • Availability may depend on OEM supply chains
  • Delays caused by manufacturers are outside KMS control

7. Client Responsibilities

Clients agree to:
  • Provide safe and compliant site access
  • Ensure utilities (power, water, gas) are available
  • Provide accurate asset information
  • Ensure equipment is operated in accordance with manufacturer guidelines
KMS is not liable for damage caused by misuse, negligence, or non-compliance.

8. Limitation of Liability

To the fullest extent permitted under UAE law:
  • KMS shall not be liable for indirect or consequential damages
  • KMS shall not be responsible for loss of revenue or business interruption unless explicitly stated in contract
  • Liability shall not exceed the total fees paid under the relevant service agreement

9. Regulatory Compliance

KMS operates in accordance with:
  • UAE commercial regulations
  • Health and safety standards
  • Applicable local authority requirements
Clients remain responsible for their own regulatory compliance unless otherwise contracted.

10. Intellectual Property

All content on this website, including:
  • Logos
  • Text
  • Graphics
  • Layout
  • Service descriptions
Are the property of Transguard Group or its affiliates and may not be reproduced without written consent.

11. Website Use

You agree not to:
  • Attempt to interfere with website functionality
  • Upload malicious software
  • Use content for unauthorized commercial purposes

12. Confidentiality

Information shared during service engagement shall be treated as confidential unless disclosure is required by law.

13. Governing Law

These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of UAE courts.
